Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Emphos Group website, online store, and all related services (collectively, the “Services”) operated by Emphos Group (“we,” “us,” or “our”), a company located at 9398 Coote Street, Chilliwack, BC, V2P 6B5, Canada.

 

By accessing or using any part of the Services, you (“you” or “customer”) agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Services. These Terms apply to all users of the Services, including without limitation browsers, vendors, customers, merchants, and contributors of content.

 

Our Services are powered by Shopify Inc. By using our store, you also acknowledge Shopify’s role as a service provider and agree to comply with any applicable Shopify policies.

1.1 Age Requirement

You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are a minor, you may only use the Services with the involvement and consent of a parent or legal guardian.

1.2 Account Creation

To access certain features of the Services, you may be required to create an account. When creating an account, you agree to:

•        Provide accurate, current, and complete information during registration.

•        Maintain and promptly update your account information to keep it accurate and current.

•        Maintain the security and confidentiality of your login credentials.

•        Accept responsibility for all activity that occurs under your account.

•        Notify us immediately at info@emphosgroup.com if you suspect any unauthorized use of or access to your account.

1.3 Account Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, without notice, for any reason, including if we reasonably believe you have violated these Terms. You may close your account at any time by contacting us at info@emphosgroup.com. Upon termination, your right to use the Services will immediately cease.

2.1 Product Descriptions

We strive to describe our products as accurately as possible. However, we do not warrant that product descriptions, images, pricing, or other content on the Services are accurate, complete, reliable, current, or error-free. Product colours and appearances may vary slightly from those shown on your screen due to monitor settings and photography.

2.2 Availability

All products are subject to availability. We reserve the right to limit the quantities of any product we offer and to discontinue any product at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of a product or service.

2.3 Order Placement

By placing an order through the Services, you are making an offer to purchase the selected product(s) at the listed price. All orders are subject to acceptance by Emphos Group. We reserve the right to refuse or cancel any order at any time for reasons including:

•        The product is out of stock or unavailable.

•        Errors in the description or price of the product.

•        Errors in your order, including incorrect shipping or billing information.

•        Suspected fraudulent, unauthorized, or illegal transactions.

•        Failure to comply with these Terms.

2.4 Order Confirmation

Upon placing an order, you will receive an order confirmation email. This email constitutes acknowledgment of receipt of your order, not acceptance of your order. A binding contract is formed only when we send a shipping confirmation email or otherwise confirm fulfillment of the order.

2.5 Cancellations

You may request to cancel an order before it has been shipped by contacting us promptly at info@emphosgroup.com. Once an order has been shipped, it cannot be cancelled and must instead follow our return process outlined in Section 6.

3.1 Pricing

All prices displayed on the Services are in Canadian Dollars (CAD) unless otherwise stated. Prices are subject to change without notice. We reserve the right to modify or discontinue pricing at any time without liability to you or any third party.

3.2 Taxes

Prices displayed may or may not include applicable federal and provincial taxes (including GST/HST/PST). Where required by law, applicable taxes will be calculated and added to your order total at checkout. You are solely responsible for any taxes, duties, or customs fees imposed by your local jurisdiction.

3.3 Payment Methods

We accept the payment methods displayed at checkout, which may include major credit cards, debit cards, and other payment services as made available. By submitting a payment, you represent and warrant that:

•        You are authorized to use the payment method provided.

•        The payment information you provide is accurate and complete.

•        You will pay all charges incurred at the posted prices, including applicable taxes and fees.

3.4 Payment Security

All payment transactions are processed through Shopify’s secure payment infrastructure. We do not store your full credit card details on our servers. By submitting your payment information, you consent to its transmission to and storage by our payment processors in accordance with their respective privacy and security policies.

3.5 Pricing Errors

In the event a product is listed at an incorrect price due to a typographical error or system error, we reserve the right to refuse or cancel any orders placed for such product. If your order has already been charged and we cancel it due to a pricing error, we will issue a full refund to the original payment method.

4.1 Shipping Locations

We currently ship to addresses within Canada and select international destinations. Shipping availability, rates, and estimated delivery times are displayed at checkout and are subject to change. We reserve the right to restrict shipping to certain locations at any time.

4.2 Shipping Times

Estimated delivery times are provided for reference only and are not guaranteed. We are not responsible for shipping delays caused by carrier issues, weather events, customs processing, incorrect shipping addresses provided by you, or other circumstances beyond our reasonable control. Risk of loss and title for products pass to you upon our delivery to the carrier.

4.3 Shipping Costs

Shipping costs are calculated based on the weight, dimensions, destination, and selected shipping method of your order. All applicable shipping charges will be displayed at checkout prior to purchase confirmation.

4.4 International Orders

For orders shipped outside of Canada, you are the importer of record and are responsible for complying with all applicable laws and regulations of the destination country. You are solely responsible for any import duties, taxes, brokerage fees, or other customs charges levied by the destination country.

4.5 Lost or Damaged Shipments

If your order arrives damaged or is lost in transit, please contact us at info@emphosgroup.com within 7 days of the expected delivery date. We will work with you and the carrier to investigate and, where appropriate, arrange a replacement or refund.

5.1 Return Eligibility

We want you to be fully satisfied with your purchase. You may return most unused, unopened items in their original condition and packaging within 30 days of the delivery date, subject to the exclusions and conditions below. Items must be returned with all original tags, accessories, and documentation.

5.2 Non-Returnable Items

The following items are not eligible for return or exchange:

•        Items marked as “Final Sale” or “Non-Returnable” at the time of purchase.

•        Items that have been used, opened, damaged, or altered after delivery.

•        Perishable goods, hazardous materials, or items that cannot be returned for health or hygiene reasons.

•        Digital products or downloadable content once accessed.

•        Gift cards and store credits.

•        Custom, personalized, or made-to-order items.

5.3 Return Process

To initiate a return, please contact us at info@emphosgroup.com with your order number and reason for return. We will provide you with a Return Merchandise Authorization (RMA) number and return instructions. Returns sent without prior authorization may not be accepted. Return shipping costs are the responsibility of the customer unless the item was received defective or incorrect.

5.4 Refunds

Once your return is received and inspected, we will notify you by email regarding the approval or rejection of your refund. Approved refunds will be processed to your original payment method within 5–10 business days. Original shipping charges are non-refundable unless the return is the result of our error.

5.5 Exchanges

We offer exchanges for items of equal or lesser value, subject to availability. To request an exchange, please contact us at info@emphosgroup.com within 30 days of delivery.

5.6 Defective or Incorrect Items

If you receive an item that is defective, damaged, or not what you ordered, please contact us within 7 days of delivery. We will arrange for a replacement, exchange, or full refund at no cost to you, including return shipping charges.

6.1 Our Content

All content on the Services, including but not limited to text, graphics, logos, images, photographs, audio clips, digital downloads, product descriptions, and software (“Content”), is the property of Emphos Group or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Content solely for your personal, non-commercial purposes. This license does not include the right to:

•        Reproduce, distribute, publicly display, or create derivative works from any Content.

•        Use any data mining, robots, scraping, or similar automated data gathering tools on the Services.

•        Download or copy account information for the benefit of any third party.

•        Use the Services or Content for any commercial purpose without our express prior written consent.

6.3 Trademarks

The Emphos Group name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Emphos Group or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

6.4 User Submissions

If you submit reviews, comments, feedback, photos, or other content to the Services (“User Content”), you grant Emphos Group a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, translate, distribute, and display such User Content in connection with our business. You represent and warrant that you own or have the necessary rights to grant this license, and that your User Content does not infringe any third-party rights or violate any applicable law.

You agree not to use the Services for any of the following purposes:

•        Violating any applicable local, provincial, national, or international law or regulation.

•        Transmitting any unsolicited or unauthorized advertising or promotional material (“spam”).

•        Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.

•        Engaging in any conduct that restricts or inhibits any other person’s use or enjoyment of the Services.

•        Using the Services in any manner that could disable, overburden, or impair the site or interfere with any other party’s use of the Services.

•        Attempting to gain unauthorized access to any portion of the Services, or any systems or networks connected to the Services, by hacking, password mining, or any other means.

•        Collecting or harvesting any personally identifiable information from the Services.

•        Using the Services for any fraudulent or unlawful purpose, including but not limited to purchasing products for resale without our prior written consent.

•        Uploading or transmitting viruses or any other malicious code that may affect the operation of the Services.

•        Interfering with or disrupting the integrity or performance of the Services or related data.

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Emphos Group. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or terms of any third-party websites. We strongly advise you to review the terms and privacy policy of every third-party site you visit.

 

Our Services are built on Shopify’s platform. Your use of Shopify-powered features, including checkout and payment processing, is also subject to Shopify’s Terms of Service and Privacy Policy, available at shopify.com. Emphos Group shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party content, goods, or services.

9.1 Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EMPHOS GROUP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

 

EMPHOS GROUP DOES NOT WARRANT THAT (I) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (II) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (III) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EMPHOS GROUP AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

•        Your use of, or inability to use, the Services.

•        Any unauthorized access to or use of our servers or any personal information stored therein.

•        Any interruption or cessation of transmission to or from the Services.

•        Any bugs, viruses, or other harmful components transmitted to or through the Services by any third party.

•        Any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of your use of any Content.

 

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO EMPHOS GROUP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

 

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.

9.3 Indemnification

You agree to defend, indemnify, and hold harmless Emphos Group and its directors, officers, employees, agents, contractors, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (i) your use of or access to the Services; (ii) your violation of any provision of these Terms; (iii) your violation of any third-party rights, including intellectual property rights; or (iv) any User Content you submit to the Services.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy, available on our website, to understand our practices regarding the collection, use, and disclosure of your personal information. By using the Services, you consent to the collection and use of your information in accordance with our Privacy Policy.

By creating an account or making a purchase, you consent to receiving electronic communications from us, including order confirmations, shipping updates, account-related notices, and, if you have opted in, promotional emails. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

 

You may opt out of receiving promotional communications at any time by following the unsubscribe instructions in those communications or by contacting us at info@emphosgroup.com. Please note that you cannot opt out of receiving transactional or administrative emails related to your account or purchases.

12.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with these Terms or the Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

12.2 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts located in the Province of British Columbia, Canada. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

12.3 Dispute Resolution

Before initiating any formal legal proceeding, you agree to first contact us at info@emphosgroup.com and provide a written description of the dispute, the harm caused, and the relief sought. We will attempt to resolve any disputes through good-faith negotiation within 30 days of receiving your notice. If the dispute is not resolved within that period, either party may pursue available legal remedies.

12.4 Class Action Waiver

To the fullest extent permitted by applicable law, you and Emphos Group agree that each party may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action or proceeding.

13.1 Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the “Last Updated” date at the top of this page and, where required by law, provide you with notice (such as by email or a prominent notice on the Services). Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

13.2 Changes to Services

We reserve the right at any time to modify, suspend, or discontinue the Services (or any part thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Emphos Group shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, earthquake, pandemic, epidemic, war, terrorism, civil unrest, governmental action or regulation, labour disputes, failure of internet or telecommunications infrastructure, power outages, or acts or omissions of third-party service providers (including Shopify and carriers).

 

In such circumstances, our obligations will be suspended for the duration of the event. We will use reasonable efforts to notify you of any such event and to resume performance as soon as reasonably practicable.

15.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

15.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default. No waiver by Emphos Group of any provision of these Terms shall be effective unless explicitly set forth in writing and signed by a duly authorized representative of Emphos Group.

15.3 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Emphos Group with respect to your use of the Services, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding such subject matter.

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms or any of our rights or obligations hereunder without restriction and without notice to you. These Terms will be binding on and inure to the benefit of the parties and their respective permitted successors and assigns.
