Beta & Early Access Agreement
This agreement governs participation in any beta testing, early access, preview, pilot, or pre-release program offered by EMPHOS Group. If you are using a product before general release, this is the document that tells you exactly what game you are playing.
Not Production Ready
Beta products may be incomplete, unstable, or materially different from any final release.
Confidentiality Applies
Beta products and non-public program information are confidential and cannot be publicly discussed or disclosed.
Use at Your Own Risk
Beta products are provided as-is, with all faults, and can be terminated or changed at any time.
Agreement Overview
Beta & Early Access Agreement
This Beta and Early Access Agreement (“Agreement”) governs your participation in any beta testing, early access, preview, pilot, or pre-release program (“Beta Program”) offered by Emphos Group (“we,” “us,” or “our”) with respect to any product, service, software, or feature that has not yet been released for general availability (“Beta Product”).
By accepting an invitation to participate in a Beta Program, completing registration, or accessing a Beta Product, you (“Beta User” or “you”) agree to be bound by this Agreement in addition to the Terms of Service and all other applicable EMPHOS Group policies. If you are participating on behalf of an organization, you represent and warrant that you have authority to bind that organization.
Important: beta access is not the same thing as a finished product. The whole point is that things may break, disappear, or change.
Section 1
Eligibility and Invitation
Participation in any Beta Program is by invitation only and at the sole discretion of EMPHOS Group. EMPHOS Group reserves the right to invite or decline any individual or organization for any reason.
Invitations are non-transferable and may not be shared, sold, or assigned to any third party. EMPHOS Group may terminate or modify any Beta Program at any time without notice or liability.
Section 2
Nature of Beta Products
Beta Products are pre-release versions of products or features that may be incomplete, contain bugs or errors, lack full documentation, and be subject to significant change prior to general release. Beta Products are provided for evaluation and testing purposes only and should not be relied upon for production use or business-critical operations.
You acknowledge and agree that:
- The Beta Product may not perform as expected and may contain defects that cause data loss, system instability, or other issues.
- Features available in the Beta Product may be modified, removed, or not included in the final released version.
- The Beta Product is not warranted to meet your requirements or to be fit for any particular purpose.
- Emphos Group is not obligated to release a final version of any Beta Product.
Translation: if you want polished, reliable, production-grade behavior, early access is the wrong room.
Section 3
License to Use Beta Product
Subject to this Agreement, Emphos Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Beta Product solely for evaluation, testing, and providing feedback to Emphos Group during the Beta Program period.
This license does not include any right to use the Beta Product for commercial purposes, to distribute it, or to create derivative works from it.
Section 4
Feedback
4.1 Providing Feedback
As a Beta User, you are encouraged to provide feedback, suggestions, bug reports, feature requests, and other input (“Feedback”) to Emphos Group regarding the Beta Product. Feedback may be submitted through the channels designated for the Beta Program.
4.2 Ownership of Feedback
You agree that all Feedback you provide to Emphos Group is provided voluntarily and without any expectation of compensation. You grant Emphos Group a worldwide, perpetual, irrevocable, royalty-free, fully paid-up license to use, reproduce, modify, distribute, and incorporate your Feedback into products and services without any obligation of compensation, attribution, or confidentiality to you.
Emphos Group shall own all improvements and developments arising from your Feedback.
Section 5
Confidentiality
The Beta Product and all related information, including its existence, features, functionality, performance characteristics, and any non-public communications about the Beta Program, constitute confidential information of Emphos Group (“Confidential Information”).
You agree to:
- Keep all Confidential Information strictly confidential.
- Not disclose any Confidential Information to any third party without prior written consent.
- Not publicly discuss, review, benchmark, or publish any information about the Beta Product without prior written consent.
- Use the Confidential Information solely for the purpose of participating in the Beta Program.
These confidentiality obligations survive termination of this Agreement and your participation in the Beta Program for a period of 2 years.
Section 6
Data and Privacy
Your use of the Beta Product is subject to the Privacy Policy. You acknowledge that, in a beta environment, data handling processes may differ from the production environment and that additional data may be collected for testing and debugging purposes.
Do not submit real personal information, payment data, or sensitive data to a Beta Product unless Emphos Group has expressly indicated in writing that it is safe and appropriate to do so.
Best practice: treat beta inputs like test inputs unless EMPHOS explicitly says otherwise.
Section 7
No Compensation
You acknowledge that participation in the Beta Program is voluntary and that you will not receive any monetary compensation, credits, or other consideration in exchange for participation, unless Emphos Group has separately agreed in writing to provide such compensation.
Section 8
Disclaimers
The Beta Product is provided “as is,” “as available,” and “with all faults.” To the fullest extent permitted by applicable law, Emphos Group makes no warranties of any kind, express or implied, with respect to the Beta Product, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
Emphos Group does not warrant that the Beta Product will be uninterrupted, error-free, or free of harmful components.
Section 9
Limitation of Liability
To the fullest extent permitted by applicable law, Emphos Group shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Beta Product, even if Emphos Group has been advised of the possibility of such damages.
Your sole remedy for dissatisfaction with the Beta Product is to stop using it.
Section 10
Termination
Either party may terminate this Agreement and your participation in the Beta Program at any time, with or without cause, by providing written notice to the other party.
Upon termination, you must immediately cease using the Beta Product and delete all copies of it from your devices. Emphos Group may terminate your participation immediately if you breach any provision of this Agreement.
Section 11
Governing Law
This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia.
